General terms

These Terms of Service set out the rights and responsibilities governing access to and use of FirmhubAxis services, resources, and content provided through FirmhubAxis.pro. By engaging our services or using the site you represent that you have authority to bind your organization and accept these terms. Services are provided in professional capacity to enterprises and business representatives in accordance with applicable law.

Eligibility to use our services

Services are intended for corporate entities, business owners, and authorized representatives who can form binding agreements on behalf of their organizations. By using FirmhubAxis services you confirm that you are legally capable of entering into contracts and that you are not barred from receiving legal services under applicable jurisdictional rules.

You must be at least 18 years old to use our services unless your jurisdiction establishes a higher age of majority. If acting on behalf of an organization, you must hold appropriate authority to retain FirmhubAxis.

You agree to use FirmhubAxis services and the website for lawful purposes only. Prohibited uses include engaging in fraud, infringement of third-party rights, transmission of malicious code, or any activity that violates applicable laws or these Terms.

FirmhubAxis is based in Canada and provides services primarily to Canadian enterprises. Use of our services from other jurisdictions may be subject to local law; you are responsible for compliance with any applicable cross-border or export controls.

Account obligations

Where accounts are provided, you are responsible for maintaining accurate account information and for all activity under your account. Only authorized representatives should access account credentials for business accounts.

You must provide complete and accurate information when creating or updating an account. Inaccurate or outdated information may affect our ability to provide services and may require verification before we process certain requests.

Protect your credentials and access methods. Notify FirmhubAxis immediately if you suspect unauthorized access. We use administrative and technical controls to protect accounts, but you must maintain the confidentiality of your passwords and authentication methods.

Accounts are non-transferable without FirmhubAxis’s prior written consent. Any attempt to transfer an account without authorization may result in suspension or termination.

If you believe your account has been compromised, contact our team immediately so we can take steps to secure the account and contribute the incident.

FirmhubAxis may suspend or restrict access to accounts where there is reasonable suspicion of misuse, unlawful activity, or breach of these Terms. Suspension is a protective measure and does not preclude other remedies.

Services provided

FirmhubAxis provides legal advisory, document drafting, regulatory guidance, and related professional services tailored to enterprises. Scope of engagement for each matter will be set out in separate engagement letters or statements of work specifying deliverables, timelines, and fees.

We may modify or discontinue aspects of our services and the website in response to business or regulatory needs. Where changes materially affect ongoing engagements, we will notify affected clients and propose reasonable adjustments or alternatives.

We aim to make services available during normal business hours in Toronto, Ontario, subject to scheduled maintenance, software updates, and unforeseen interruptions. Availability is not guaranteed and may be affected by third-party service providers.

User rules and prohibited conduct

To protect our clients and resources, the following activities are prohibited when using FirmhubAxis services or the website:

  • Engaging in illegal or fraudulent activity, including providing false or misleading information.
  • Attempting unauthorized access to systems, accounts, or data not owned by you.
  • Interfering with or disrupting the operation of the website, servers, or network infrastructure.
  • Impersonating another individual, organization, or FirmhubAxis staff member.
  • Copying, scraping, or using automated tools to extract data from the website without consent.
  • Uploading or distributing malware, spyware, or content that violates rights of third parties.
  • Circumventing security mechanisms or attempts to defeat access controls.

User-provided content

Clients and users may provide documents, data, or other materials in connection with services. Such material is referred to as user-provided content.

You retain ownership of your user-provided content, subject to any rights you grant FirmhubAxis in the engagement agreement or as necessary to provide services.

By submitting content to FirmhubAxis you grant us a non-exclusive, worldwide, royalty-free license to use, copy, store, and process the materials for the purpose of delivering contracted services and for internal quality and compliance purposes.

You represent and warrant that you have the right to provide the content, that it does not infringe third-party rights, and that any personal data within the content has been collected and processed lawfully.

We may remove user content that violates these Terms or is unlawful. Removal does not affect any legal obligations to retain information for regulatory or litigation purposes.

Intellectual property

All intellectual property rights in the FirmhubAxis website, branding, templates, materials, and proprietary tools are owned by FirmhubAxis or our licensors. Clients are granted only the rights expressly set out in engagement agreements.

  • Do not copy, reproduce, distribute, or create derivative works of FirmhubAxis proprietary materials without prior permission.
  • Do not remove or alter any proprietary notices or attributions on materials provided by FirmhubAxis.
  • Use of FirmhubAxis intellectual property is limited to the scope expressly permitted in the engagement documentation.

Paid services and billing

Certain FirmhubAxis services are provided for a fee. Fees, billing cycles, and payment terms are set out in engagement letters, proposals, or invoices provided to clients.

Pricing may be based on hourly rates, fixed fees, or project-based arrangements as agreed in writing. Pricing proposals identify the services covered and any assumptions or exclusions.

Invoices are payable according to the terms specified in the engagement agreement. Accepted payment methods will be described in invoices and may include electronic transfer or card payments facilitated through third-party processors.

Subscription-based offerings, where available, will be governed by a separate subscription agreement describing renewal, termination, and invoicing frequency.

Refunds or credits are addressed on a case-by-case basis and subject to the terms of the applicable engagement. We will assess requests for refunds in light of work performed and documented expenses.

Either party may terminate an engagement in accordance with the termination provisions in the engagement agreement. Termination provisions will set out notice requirements and obligations for outstanding fees and deliverables.

Clients are responsible for applicable taxes, duties, or other governmental charges related to the fees for services. Taxes will be itemized on invoices where required.

FirmhubAxis reserves the right to modify pricing for future engagements with notice. Existing agreements will be governed by the pricing in effect at the time of contracting unless otherwise agreed.

Non-payment may result in suspension of services, withholding of deliverables, and recovery actions. Outstanding balances may accrue interest as set out in the engagement agreement or applicable law.

Professional disclaimer

Limitation of liability

To the maximum extent permitted by applicable law, FirmhubAxis’s liability arising out of or relating to these Terms, the website, or provided services is limited to direct damages up to the amount of fees paid by the client for the specific engagement giving rise to the claim. FirmhubAxis is not liable for indirect, incidental, consequential, or punitive damages except as required by law.

Third-party providers

We may engage third-party vendors for hosting, payment processing, or other services. Use of third-party services is subject to their terms and privacy practices. We vet providers for compliance and security, but we are not responsible for third-party security incidents or service interruptions.

Termination

Either party may terminate an engagement in accordance with the termination provisions of the engagement agreement or these Terms. FirmhubAxis may suspend or terminate access to the website or services for violations of these Terms or where continued provision of services is impracticable.

On termination, outstanding fees and expenses become immediately due. FirmhubAxis may retain copies of records as required by law or to protect against legal claims. Clients remain responsible for confidentiality obligations and payment of accrued charges.

Privacy and data protection

FirmhubAxis handles personal information in accordance with our Privacy Policy and applicable privacy laws. By using our services you consent to the collection, use, and disclosure practices described in the Privacy Policy.

Communications and notices

We may communicate with clients by email, phone, or postal mail using the contact details provided. Electronic communications are considered delivered when sent. Notices to FirmhubAxis should be addressed to our contact information listed below.

Changes to terms

We may revise these Terms from time to time. Material changes will be posted on FirmhubAxis.pro with an updated effective date. Continued use of services after notice of changes constitutes acceptance of the updated Terms.

Governing law

These Terms are governed by and construed in accordance with the laws of the Province of Ontario and the laws of Canada applicable therein, without regard to conflict of law principles.

Dispute resolution

Parties should first attempt to resolve disputes through good-faith negotiations. If unresolved, disputes will be subject to the exclusive jurisdiction of the courts of Ontario, Canada, unless otherwise agreed in a specific engagement agreement.
